This Vendor Services Agreement (“Agreement” or “MSA”) constitutes a legally binding agreement between ZZ Shop & Pay Later Enterprise Limited, a company incorporated under the laws of the Federal Republic of Nigeria with RC Number 8488110 (“ZZ Shop & Pay Later”, “we”, “us”, or “our”), and you, the vendor (“you”, “your”, or “Vendor”) who registers and operates an online store via the ZZ Shop & Pay Later Marketplace Platform.

ZZ Shop & Pay Later provides a digital marketplace platform designed to support small and medium-sized enterprises (SMEs) and startups by offering an easy-to-use, budget-friendly online storefront. Upon registration, vendors are able to create and manage an online store under their own brand name on the ZZ Shop & Pay Later website and sell products and/or services. In exchange, a transaction fee of 3% is charged on all sales completed through the platform after your initial 2 months free listing & sales.

This Agreement outlines the general terms and conditions applicable to your use of the ZZ Shop & Pay Later Store and the services we provide, including but not limited to:

• Hosting and maintenance of your branded store
• Listing of your products and services
• Participation in ZZ Shop & Pay Later marketing and promotional campaigns

By registering as a vendor and accessing or using the ZZ Shop & Pay Later platform, you agree to be bound by the terms of this Agreement and any additional guidelines, policies, or amendments that may be issued from time to time and incorporated herein.

This Agreement incorporates the following documents and policies by reference:

1. Vendor Eligibility

To become a vendor in the ZZ Shop & Pay Later Marketplace, you must:

Own or operate a legally registered business.

Offer physical or digital products or services that comply with applicable laws.

Maintain a functional e-commerce website with checkout capabilities

We reserve the right to approve, deny, or revoke a vendor’s status if they violate the terms and conditions of participation.

2. Marketplace Participation

Upon approval:

• Your business will be listed on the ZZ Shop & Pay Later Marketplace.
• You will gain access to marketing opportunities, including co-branded campaigns and featured placements (when available)
• Enjoy a 2-month free listing period from the day you registered on platform, followed by a 3% service fee (covers bank charges and website management) on each item sold through the platform.

3. 3. Payment Terms

ZZ Shop & Pay Later does not allow vendors to get payments directly. All customer transactions are conducted on the platform website via approved third-party checkout platforms (Paystack and direct transfer).

Payments for orders will be processed after they have been successfully delivered to customers.Payments will typically be processed within 1 to 2 business days following confirmation of delivery minus bank charges of  #75  during your free listing period if you are onbaorded on that term.

 Shop Now, Pay Later option are offered to customers independently, and vendors have the option not to offer this.

4. Vendor Responsibilities

As a vendor, you agree to:

Accurately represent your products or services

Honor prices, promotions, and shipping times as advertised.

Fulfill orders promptly and in accordance with your own terms and conditions as stated in your online store.

Provide quality customer service and respond to inquiries or disputes in a timely manner.

Maintain an active, secure, and accessible online store on the platform.

Vendors are responsible for logistics and delivery to customers.

5. Prohibited Products & Activities

You may not list or promote:

• Counterfeit, illegal, or restricted items.
• Products that infringe on intellectual property.
• Content or materials that are sexually explicit, promote hate speech, violence, or discrimination.
• Any activity that may harm ZZ Shop & Pay Later reputation or violate our policies.

ZZ Shop & Pay Later reserves the right to remove any listings or vendors in violation of these restrictions.

6. Intellectual Property

Vendors grant ZZ Shop & Pay Later a non-exclusive, royalty-free, worldwide license to use their brand name, logo, and product images for the purposes of promotion, marketplace listings, and advertising related to ZZ Shop & Pay Later.

You retain ownership of your intellectual property and are solely responsible for ensuring that your materials do not infringe on third-party rights.

7. Termination

ZZ Shop & Pay Later may terminate or suspend your participation in the Marketplace at any time with a 48hours  notice for:

• Breach of these Terms and conditions.
• Customer complaints or high dispute rates.
• Inactivity or failure to maintain website standards.
• Engagement in fraudulent or unethical conduct.

You may also voluntarily withdraw from the Marketplace by providing written notice and sent to support@zzshoppaylater.com

8. Limitation of Liability

ZZ Shop & Pay Later is not responsible for:

Transactions conducted between you and your customers outside of the platform.

Payment disputes, chargebacks, or non-payment by customers outside of the platform.

Product defects, shipping issues, or return policies.

Any indirect, incidental, or consequential damages arising from your participation.

9. Shipping Policy – ZZ Shop Marketplace

ZZ Shop Marketplace partners with GIG Logistics to provide reliable delivery for all orders. Items is picked up directly from your store location and delivered to the customer’s specified address.

All vendor stores are mapped to ship from their registered business address, which is clearly displayed on their store page. As a vendor you are enabled to ship to customers both within and outside your operating state.

Shipping times and fees may vary based on the vendor’s location and the delivery destination.

Check your store setting from your dashboard for confirmation.

10. Product Availability and Delivery Timeline

Vendors are expected to ensure that all items displayed on their store are readily available for purchase and can be delivered to customers within the following timelines:

• 1 to 2 business days for deliveries within the same state
• 3 to 4 business days for inter-state deliveries

If order processing or delivery is expected to take longer than the timelines stated above, this must be clearly communicated in the vendor’s store policy to ensure transparency and manage customer expectations.

11. Modifications to Terms

ZZ reserves the right to update these Terms and conditions at any time. Vendors will be notified via email or through the Vendor Portal. Continued participation after changes constitutes acceptance of the updated Terms.

12. Governing Law

This Agreement is governed by the laws of Nigeria, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Nigeria.
